End-User License Agreement (EULA) of Star Bots Trading Algorithms
I. General terms
(1) This End-User License Agreement (“EULA”) is a legal agreement between you as a buyer/donator of Starbots Trading scripts (“Trading Algorithm”) and Star Bots as a developer and seller of the Trading Scripts. Buyer and Star Bots are parties of this EULA.
(2) In this Agreement, a reference to:
• »Star Bots« means the developer, owner and seller of the trading algorithms/trading bots;
• »Buyer«, »User«, »you« means the person who uses the trading algorithm;
• »Trading strategy«, »strategy« means the trading algorithm;
• »Star trading algorithm«, »trading algorithm« means the strategy;
• »Tradingview«, »trading platform« means the TradingView charting platform and social network used by traders and investors worldwide where we use and trade trading scripts on their services;
• »Donation for the trading algorithms« means the non-refundable, full-paid donation using the Strategy for one (1), three (3) or twelve (12) months period;
• »Personal Data« means any content or data that you submit or transfer to Star Bots using the trading algorithm;
• »Trading algorithm improvement« means work carried out by Star Bots to improve the Trading Algorithms, including work in respect of benchmarking, text analytics, linkage analysis, attrition prediction, algorithm improvements, comment translation and the development and provision of additional services and functionality.
(3) Please read this EULA carefully before using the Star trading algorithms and scripts. It provides a license to use the trading algorithm and contains warranty information and liability disclaimers.
(4) If you register for a free trial of trading algorithms, this EULA will also govern that trial. By clicking “agree” on the checkout page or using the Star Bots trading algorithms, you are confirming your acceptance of the trading algorithm and agreeing to become bound by the terms of this EULA.
(5) This EULA agreement governs your donation, acquisition to, and use of, trading algorithms, website and/or other related services of Star Bots, obtained directly from Star Bots or indirectly through a Star Bots authorized reseller or distributor (“Reseller”). Prior to using the Trading Algorithms you confirm and agree that you understand, accept and undertake to be bound by terms in this EULA. You confirm and agree that you accept the terms of this EULA fully consciously, voluntarily and without coercion.
(6) If you are entering into this EULA on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to terms of this EULA. If you do not have such authority or if you do not agree with the terms of this EULA agreement, do not use the trading algorithm.
(7) This EULA agreement shall apply only to the trading algorithms supplied by Starbots herewith regardless of whether other trading algorithm is referred to or described herein. The terms also apply to any Starbots updates, supplements, Internet-based services, and support services for the trading algorithms, unless other terms accompany those items on delivery. If so, those terms apply.
(8) Starbots reserve the right to continually change and improve our trading algorithms in the means of the performance improvement. Starbots may alter the trading algorithms at any time.
1. Term of EULA
(1) The term of EULA shall commence on the day you complete the donation process or on the day you register for free trial of the trading algorithms and shall continue in full force and effect until the end of your subscription to trading algorithms or until the subscription to the trading algorithm is terminated by either party. This EULA stays in full force for repeated donations of Subscription to strategies and other trading algorithms provided by Starbots.
2. License Grant
(1) Star Bots hereby grants you a personal, non-transferable, non-exclusive licence to use the trading algorithms on your devices in accordance with the terms of this EULA.
(2) You are permitted to load the trading algorithm on your personal account of TradingView charting platform (for example a personal computer, laptop, mobile or tablet browser) under your control and responsibility. You are responsible for ensuring your device meets the minimum requirements.
3. Subscription term of Subscription to Trading Algorithms
(2) Subscription term of Subscription to Trading Algorithms lasts one (1), three (3) or twelve (12) months and it shall commence on the day you make the donation and shall continue in full force and effect until the end of your subscription to trading algorithms or until the subscription to trading algorithms is terminated by either party.
(3) After one (1), three (3) or twelve (12) months of the Subscription term to trading algorithms you can repeat donations to access the trading algorithms for your personal usage.
4. Donation for Subscription and other fees
(1) Trading algorithms are shared with you with a subscription to trading algorithms. Donation for subscriptions is non-refundable and must be paid in full.
(2) With the donation for subscription to Trading Algorithms you get the right to trade and use this strategy on TradingView charting platform. The donation for a subscription to Trading Algorithms is not required if you register for a free trial or ask the owner for a free trial.
(3) Subscription donations or any other related fees are not refundable.
5. Intellectual Property and Ownership rights
(1) In this EULA, Intellectual Property and Ownership rights means any and all present and future intellectual and industrial property rights, including any registered or unregistered forms of copyright, designs, patents, trademarks, service marks, domain names, good will and any commercial information. Intellectual Property and Ownership rights also include any application or right to apply for registrations of any of these rights, any rights protected or recognised under any laws throughout the world, related to these rights, and anything copied or derived from such property or rights. Starbots shall at all times retain ownership of the Trading Algorithms as originally acquired by you and all subsequent acess of the Trading Algorithm by you. The Trading Algorithms and all Intellectual Property and Ownership rights are and shall remain the property of Starbots. Nothing in this EULA or from your use of the Software grants you an ownership of the Trading Algorithms or the content you access through the use of the Trading Algorithms and/or any right to use any Starbots trademarks or other Intellectual Property Rights contained in our brand identity.
(2) Starbots reserves the right to grant licenses to use the Trading Algorithm to third parties.
(3) Before the subscription to Trading Algorithms, during the subscription to Trading Algorithms and after the termination of the subscription to Trading Algorithms you are not permitted to:
– Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Trading Algorithm nor permit the whole or any part of the Trading Algorithm to be combined with or become incorporated in any other Trading Algorithm, nor decipher, decompile, disassemble, create derivative works, reverse engineer or otherwise attempt to reconstruct, identify or discover any source code, algorithms, underlying ideas or underlying user interface techniques in the Trading Algorithm or any of the Trading Algorithm used to provide the Trading Algorithm, probe, scan, or test the vulnerability of any Starbots system or network, misuse the Trading Algorithms by interfering with it’s normal operation or attempt to do any such things;
– Reproduce, copy, distribute, resell, use the Trading Algorithm for signaling services, copy-trading or otherwise use the Trading Algorithm for your own or other’s interests or for any commercial purpose;
– Allow any third party to use the Trading Algorithm on behalf of or for the benefit of any third party;
– Use the Trading Algorithms in any way that breaches any applicable local, national, EU and international law;
– Display and confidential information in connection with the use of the Trading Algorithms that is marked confidential or would reasonably be considered as confidential under the circumstances;
– misuse the Trading Algorithms by interfering with their normal operation, or attempting to access them using a method other than through the interfaces and instructions provided by Starbots;
– Use the Trading Algorithms for any other purpose that is a breach of this EULA agreement or to commit any unlawful activity.
6. Termination of subscription to Starbots Trading Algorithms
(1) Subscription to Trading Algorithms can be terminated by either party. You may terminate it at any time upon written notice to Starbots, via e-mail [email protected].
(2) Subscription to Trading Algorithms will be terminated immediately and without prior notice if you fail to comply with this EULA or if you breach any term of this EULA. Upon such termination, the licenses granted by this EULA will immediately terminate and you agree to stop all access and use of the Trading Algorithms provided by Starbots. The provisions that by their nature continue and survive, will survive any termination of Subscription to Trading Algorithms.
7. Losses and Liabilities
(1) You use the Trading Algorithms at your behalf and at your own risk. Starbots do not guarantee you profits by using this Trading Algorithms and is not responsible or liable for your’s direct or indirect obligations, liabilities, claims, liens or encumbrances, demands, losses, damages, causes of action, judgments, costs and expenses (including attorneys’ fees), whether direct, contingent or consequential, and no matter how arising, incurred or suffered by any indemnified party.
8. Account security and access
(1) You are responsible for safeguarding any passwords or other credentials used to access your account. Administrator or manager accounts may not be shared and may only be used by one individual per account. You are responsible for any activity occurring in your account whether or not you authorized that activity. If you become aware of any unauthorized access to, or use of, your account, you should immediately notify Starbots owner, via e-mail [email protected].
9. Personal data
(1) While using our Trading Algorithms, you guarantee you read our Privacy Policy, you consent and agree to provide us with certain personally identifiable information that can be used to contact or identify you. 10. Governing Law
(1) This EULA and any dispute arising out of or in connection with this EULA, shall be governed by and construed in accordance with the laws of the Republic of Slovenia.
